1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement under the Indian Contract Act, 1872 between you ("User", "Customer", or "Subscriber") and Tidyslot.com ("TidySlot", "we", "us", "our"), governing your access to and use of the TidySlot software-as-a-service platform available at tidyslot.com and app.tidyslot.com.

By creating an account, accessing the platform, or using any TidySlot service, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use TidySlot.

2. Definitions

• "Service" — the TidySlot web application, including all features, modules, APIs, and related documentation
• "Account" — a registered user account on TidySlot
• "Organisation" — the workspace created by the Account Owner, to which Team Members are added
• "Account Owner" — the individual or entity that creates and is responsible for the Organisation account
• "Team Member" — a user invited by the Account Owner to access the Organisation's workspace
• "Subscription" — a paid or free plan providing access to the Service
• "User Data" — all data, content, and information submitted by users into the Service
• "Confidential Information" — non-public information shared between parties in connection with the Service

3. Eligibility

To use TidySlot, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872
• Not be barred from receiving services under applicable Indian law
• If representing an organisation, have authority to bind that organisation

TidySlot is intended for business use — specifically for service businesses managing team schedules and work assignments. It is not intended for personal or consumer use.

4. Account Registration & Responsibilities

4.1 Registration

You must provide accurate, complete, and current information when registering. You are responsible for keeping your account information up to date.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

• Use a strong, unique password
• Not share your password with any third party
• Notify us immediately at support@tidyslot.com if you suspect unauthorised access

TidySlot will not be liable for any loss or damage arising from your failure to maintain account security.

4.3 Account Owner Responsibilities

The Account Owner is responsible for all activity within their Organisation, including the conduct of all Team Members they invite. The Account Owner must ensure that all Team Members comply with these Terms.

4.4 One Account Per User

Each individual may hold only one Account Owner account. Creating duplicate or fraudulent accounts is prohibited.

5. Subscription, Billing & Payment

5.1 Plans & Pricing

TidySlot is offered on a per-user, annual subscription basis. The standard rate is ₹3,000 per user per year, payable in advance. No monthly billing option is available.

Launch offer: Customers subscribing during the launch period receive 50% off — ₹1,500 per user for Year 1. From Year 2 onwards, the standard rate of ₹3,000/user/year applies.

Multi-year prepay (launch period): Customers may lock in the launch rate of ₹1,500/user/year by prepaying for multiple years upfront. This option is available during the launch period only.

Multi-year prepay (post-launch): After the launch period closes, customers may prepay for multiple years at the following rates: 5-year prepay — ₹2,400/user/year (20% off); 10-year prepay — ₹2,250/user/year (25% off).

Plan details, pricing, and features are subject to change with prior notice as described in Section 17.

5.2 Billing

Subscriptions are billed annually in advance. Billing is processed in Indian Rupees (INR). All amounts are exclusive of applicable taxes unless stated otherwise. TidySlot does not offer monthly billing.

5.3 GST

Goods and Services Tax (GST) is applicable on all subscription payments as per the GST Act, 2017 and the rates notified for Software as a Service (SAC Code: 998314 — Information technology (IT) consulting and support services). A GST invoice will be issued for each billing cycle. You must provide your GSTIN if you wish to claim input tax credit.

5.4 Payment

Payments are processed through an RBI-authorised payment aggregator appointed by TidySlot. By subscribing, you authorise TidySlot to charge your chosen payment method on the billing date. TidySlot does not store your payment credentials — all payment data is handled by the payment processor. The name of the current payment processor will be disclosed on the payment page at the time of checkout.

5.5 Failed Payments

If an annual payment fails or a renewal payment is not received by the renewal date, your account may be suspended after a grace period of 7 days. You will receive email reminders before suspension. Your data is retained during the grace period and for 30 days after suspension, after which it is permanently deleted.

6. Free Trial

TidySlot may offer a free trial period. During the trial, you have access to the features of the selected plan at no cost. At the end of the trial, you must subscribe to a paid plan to continue using the service. No payment is required to start a trial; your payment method will only be charged when you explicitly upgrade to a paid plan.

7. Cancellation Policy

7.1 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current annual subscription period — you retain full access until the period expires.

7.2 No Refund Policy

All subscription fees paid to TidySlot are non-refundable. No refunds will be issued for any reason, including early cancellation, unused portions of the subscription period, or dissatisfaction with the service. By subscribing, you acknowledge and agree to this no-refund policy.

TidySlot is a business-to-business service intended for professional organisations. These Terms do not apply to individual consumers as defined under the Consumer Protection Act, 2019.

8. Acceptable Use Policy

You agree to use TidySlot only for lawful business purposes. You must not:

• Use the service in any manner that violates any applicable Indian law, including the IT Act 2000, the DPDP Act 2023, or the Indian Penal Code
• Upload, transmit, or store any content that is illegal, harmful, threatening, defamatory, obscene, or infringing of third-party intellectual property rights
• Attempt to gain unauthorised access to any part of the service, other users' accounts, or TidySlot's systems
• Use automated tools (bots, scrapers, crawlers) to access the service without prior written consent
• Reverse-engineer, decompile, or disassemble any part of the service
• Resell, sublicense, or commercialise access to the service without our written permission
• Introduce viruses, malware, or any malicious code into the service
• Use the service to send unsolicited communications (spam)
• Exceed the usage limits of your subscription plan

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

9. Your Data & Intellectual Property

9.1 Ownership

You retain full ownership of all User Data you submit to TidySlot. We do not claim any intellectual property rights over your data.

9.2 Licence to TidySlot

By submitting User Data to TidySlot, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your data solely for the purpose of providing the service to you.

9.3 Data Portability

You may export your data at any time from within the application. On account closure, you may request a data export within 30 days. After 30 days, data is deleted and cannot be recovered.

9.4 No Use for AI Training

TidySlot does not use your User Data to train artificial intelligence or machine learning models.

10. TidySlot Intellectual Property

TidySlot, including its software, design, trademarks, logos, and all content created by us, is the intellectual property of Tidyslot.com and is protected under Indian intellectual property law, including the Copyright Act, 1957 and the Trade Marks Act, 1999.

Nothing in these Terms transfers any intellectual property right in the TidySlot platform to you. Your subscription gives you a limited, non-exclusive, non-transferable right to access and use the service during your subscription period.

11. Confidentiality

Each party agrees to keep the other's Confidential Information confidential and not to disclose it to any third party without prior written consent, except as required by law. This obligation continues for 3 years after termination of the subscription.

TidySlot's confidentiality obligations to you with respect to your User Data are described in our Privacy Policy.

12. Service Availability & SLA

TidySlot aims to provide reliable service but does not guarantee uninterrupted availability. We target 99% uptime excluding scheduled maintenance. Scheduled maintenance will be communicated at least 24 hours in advance.

We are not liable for downtime caused by third-party services (hosting providers, payment gateways, internet connectivity), force majeure events, or circumstances beyond our reasonable control.

13. Limitation of Liability

To the maximum extent permitted under Indian law:

• TidySlot's total cumulative liability for any claim arising from or related to these Terms or the service shall not exceed the amount paid by you in the 3 months immediately preceding the claim
• TidySlot shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or business interruption
• TidySlot is not liable for any decisions you or your team make based on data displayed in the service

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under Indian law.

14. Indemnification

You agree to indemnify, defend, and hold harmless TidySlot and its representatives from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the service in violation of these Terms
• Your User Data infringing any third-party rights
• Any breach of applicable Indian law by you or your Team Members

15. Termination & Suspension

15.1 By You

You may terminate your account at any time by cancelling your subscription and deleting your account from the settings page. Data deletion is subject to the retention schedule in our Privacy Policy.

15.2 By TidySlot

We may suspend or terminate your account immediately, without prior notice, if:

• You breach any provision of these Terms or the Acceptable Use Policy
• We are required to do so by law or court order
• Your use of the service creates legal liability or security risk for TidySlot or other users
• Your payment is overdue by more than 30 days

For less serious violations, we will attempt to notify you and give you an opportunity to remedy the breach before terminating.

15.3 Effect of Termination

Upon termination, your right to access the service ceases immediately. You may request a data export within 30 days. After 30 days, data is permanently deleted.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act 1872, the Information Technology Act 2000, and other applicable Indian legislation.

16.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve any dispute informally by contacting support@tidyslot.com and engaging in good-faith negotiations for at least 30 days.

16.3 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Vadodara, Gujarat, India. The arbitration shall be conducted in English by a sole arbitrator mutually agreed upon by both parties.

16.4 Jurisdiction

For matters not subject to arbitration (including applications for injunctive relief), the courts of Vadodara, Gujarat, India shall have exclusive jurisdiction.

16.5 Consumer Complaints

Consumers may also approach the appropriate Consumer Disputes Redressal Forum under the Consumer Protection Act, 2019 if their matter falls within its jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before taking effect. The version number and "Last updated" date above will be updated with each revision, and a summary of changes will be recorded in the Version History below.

Continued use of TidySlot after the effective date of updated Terms constitutes your acceptance. If you disagree with changes, you may cancel your subscription before the effective date.
